One License is defined as a license to install the SIGNificant Client on one seat (e.g. a PC, Notebook). One seat can be used by multiple signers. All transactions are included.

Licensing Terms and Conditions

With this license you acquire a non-exclusive, non-transferable right to use the program extending to the bought number of licenses ordered by you in writing for your internal business purposes, subject to the constraints of other contractual provisions if any. You are not permitted to modify the license nor to appoint a third party or third parties to modify the license. You are additionally not permitted to assign the license to a third party or third parties or to use the license for a third party or third parties. A non-human operated device (e.g. an IT-system, TP-monitor or web-server) is not authorized to use this license.

Right of ownership, copyright and other industrial property rights remain with xyzmo and xyzmo's licensors. This applies in kind to products developed by xyzmo in the course of rendering services and placed at your disposal.

You are not entitled to place the programs or results of provision of services at the disposal of a third party or parties for the business purposes of said third party or parties.

In line with legal requirements, and subject to legal provisions to the contrary, warranty is given for the functionality of the program in all significant respects, as described in the documentation accompanying the program and release notes. The warranty period is twelve (12) months. Defects of the program must be reported immediately.

xyzmo does not warrant that its products are compatible with hardware that has not been approved by xyzmo, or with third party software.

No warranty can be given for unavailability or unusability of programs and services caused by force majeure, operating system crashes, software errors arising for technical reasons, errors in the telecommunications infrastructure, virus attacks, Denial-of-Service attacks, acts by third parties or other reasons beyond the control of xyzmo.

The warranty is voided in case of improper use of the products and in case of unauthorized modification of the configuration. If third party software is running on computers together with xyzmo software, xyzmo is entitled to request the deactivation of this third party software and to prove the defect without the third party software again.

Claims for damages are debarred, except in cases in which you provide substantiated evidence that the error lies within xyzmo's sphere of influence, and was caused by intent or gross negligence on the part of xyzmo or its vicarious agents.

xyzmo's liability for each damage claim is restricted to the amount paid by you for the license. A damage claim is defined as the totality of claims for damage by all claimants resulting from the same act or the totality of claims by the same claimant with respect to various acts in legal or economic context, or the totality of a single claim issuing from one or multiple acts.

This limit does not apply to injury to persons or to damage caused by intent, however, claimant must substantiate this more serious level of default.

Subject to ten workingdays prior notice, you explicitly agree to grant xyzmo's staff or agents access to your systems on which xyzmo-Significant software is installed and to allow xyzmo to analyze use directly on these systems. xyzmo will not disclose data acquired in this way and will use the acquired data for license auditing purposes only.

You are entitled to use the program and services for the term specified in the purchase of the license. You accept the fact that the contract may be terminated with immediate effect in case of breach of contract without entitling you to claim for financial compensation. You shall cease and desist to use the program upon receipt of notice of termination of contract.

You accept the fact that – inasmuch as not governed by law – all use of the program and/or utilization of services within the scope of the contract are subject to the formal and material laws of the Republic of Austria and expressly exclude the Law on the Conflict of Laws and UN Law on the International Sale of Goods. Claims against xyzmo are to be made at the court of jurisdiction in the district of which xyzmo's head offices are located, unless another mandatory court of jurisdiction is appointed.

You also accept the fact that claims must be based on written agreements. xyzmo and you expressly and irrevocably declare that any future waiver of the requirement for written form will not be effective unless assented to in writing. The use of either advanced electronic signatures or digital handwritten biometric signatures is agreed as being equivalent with written form.

Should any of the preceding provisions prove invalid as a whole or in part for any reason, or should any part lose its validity at a later date, the rest shall remain unaffected and valid. In this case, both parties agree to replace the invalid clause with a corresponding text, which is valid and equivalent to the intended meaning. In case of a loophole in the use of the software and utilization of services, all stakeholding parties agree to insert a text, which is valid and equivalent to the intended meaning.

Hardware (signature tablet) warranty:

• All signature tablets have a two year manufacturer’s warranty period beginning from the purchase date.
• In case of defect, the product has to be returned to xyzmo with failure description, proof of purchase and all accessories.
• During the warranty period the reseller will receive a replacement product. This might be a successor product, if the original product is not available anymore.
• Warranty will be void in cases of opened products, physical damage, misuse, modification, repair by unauthorized persons, carelessness and using the product for other purposes than its intended use.
• Exclusions of warranty:
  • Damage caused by accidents or disasters, such as fire, flood, earthquake, war, vandalism or theft.
  • Incompatibility with other hardware/software not defined as minimum system requirements.
• In no event shall xyzmo be liable for any consequential or incidental damages, including any loss of business profits or any other commercial damages, arising out of the use of the tablets.

You will receive the license key via email after the payment within 24 hours.

How it works:

1. Open any Document for Signing

   • In order to sign a PDF document, you simply open it in the SIGNificant Client and either sign immediately, or design the document on the fly according to your needs before you have it signed. 

   • The SIGNificant Client is equipped with a universal PDF converter. It enables a quick document conversion functionality, using a toolbar that plugs into office applications or the installed printer driver.

2. Capture a Handwritten Signature or  Apply a Customizable Seal Imprint

   • Next, capture your handwritten signature using the signature pad. 

   • Alternatively, you can seal documents with a customizable seal imprint (Approved, Declined,..) using either the out-of-the-box xyzmo digital certificate or a personal one located in your certificate store.

3. You're Done! 

   • The document is now signed and sealed against future modifications and can be viewed and verified by any external user using the free Adobe Reader. The signed document can be stored on your local computer and uploaded to the company’s server at a later stage.
